Terms and Services Agreement for Free Run Business Services (FRBS)

Effective Date: 14 August 2024

Welcome to Free Run Business Services (FRBS). By accessing and using our services, you agree to comply with and be bound by the following terms and conditions. Please read these terms carefully.

1. Introduction

Free Run Business Services (FRBS) offers professional online business management (OBM) services to help streamline operations, manage projects, and improve efficiencies for businesses. These terms govern your use of our services.

2. Services Provided

FRBS provides, but is not limited to, the following services:

- Online Business Management (OBM)

- Project Management

- Operations Management

- Team Management

- Strategic Planning

- Business Process Development

Services are delivered remotely unless otherwise agreed upon.

3. Client Responsibilities

Clients are required to:

- Provide accurate and complete information for service delivery.

- Respond promptly to communication.

Ensure access to any necessary software or platforms.

4. Payment Terms

Fees: All fees are outlined in the service agreement or proposal.

Billing Cycle: Payments are due monthly or per project, as agreed to and outlined in the service agreement or proposal. Invoices will be issued accordingly.

Payment Methods: Accepted methods include PayPal and Bank Transfer.

Late Payments: Late payments may incur a monthly fee for any invoices unpaid as outlined and agreed to in the serviced agreement. FRBS may suspend services in case of non-payment.

5. Third-Party Services

Some services may require FRBS to collaborate with third-party platforms or vendors. FRBS is not responsible for the actions or failures of these third parties, and clients acknowledge that they may be subject to additional terms and conditions by those providers.

6. Data Security and Privacy

Data Handling: FRBS is committed to protecting your confidential information. However, the client acknowledges that no online data transmission is entirely secure.

Third-Party Tools: We may utilize third-party tools to deliver services. Clients consent to the use of these tools, including their data handling policies.

7. Confidentiality

Both parties agree to protect any confidential information exchanged during service delivery. Confidential information includes business plans, proprietary processes, financial data, and similar details.

8. Intellectual Property

FRBS retains ownership of any intellectual property (processes, templates, plans, etc.) developed during service delivery. Clients may not reproduce or distribute these materials without prior written consent.

9. Limitation of Liability

FRBS is not liable for indirect, incidental, or consequential damages arising from the use or inability to use the services. The total liability of FRBS shall not exceed the amount paid for the specific service.

10. Indemnification

Clients agree to indemnify and hold harmless FRBS from any claims, damages, liabilities, and expenses arising from their use of services or violation of these terms.

11. Force Majeure

FRBS will not be liable for any delays or failure to perform due to unforeseen events, such as natural disasters, acts of war, or government restrictions, which are beyond our control.

12. Cancellations and Termination

Client Cancellation: Clients may cancel by providing written notice as outlined and agreed to in the signed service agreement . Fees for work completed up to the cancellation date will still apply.

FRBS Termination: FRBS reserves the right to terminate services in cases of non-payment or breach of terms. Notice will be provided in writing.

Refunds: Refunds are not available for services already rendered.

13. Changes to Terms

FRBS reserves the right to modify these terms at any time. Clients will be notified of any changes via email or on our website. Continued use of the services constitutes acceptance of the modified terms.

14. Governing Law

These Legal Terms shall be governed by and defined following the laws of Canada. FRBS and yourself irrevocably consent that the courts of Canada shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these legal terms

15. Dispute Resolution

Both parties agree to pursue mediation or negotiation in the event of a dispute before pursuing formal legal action. All legal proceedings shall take place in Oakville, Canada.
